TORONTO, Ontario, June 2, 2008 – Laramide Resources Ltd. ("Laramide") (TSX:LAM) announced today that, subject to all necessary regulatory approvals, it is undertaking an overnight marketed "best efforts" offering (the "Offering") of common shares of Laramide at an issue price to be determined in the market to raise aggregate gross proceeds of up to $13.5 million. The Offering will be conducted through a syndicate of dealers led by Dundee Securities Corporation and including Clarus Securities Inc. and Haywood Securities Inc. (collectively the "Dealers"). In addition, Laramide has granted to the Dealers an over-allotment option exercisable for a period of 30 days after the date of closing of the Offering for additional aggregate gross proceeds of an amount equal to 10% of the gross proceeds of the Offering.
In connection with the Offering, Laramide has filed a preliminary short form prospectus with the securities regulatory authorities in each of the provinces of Canada other than Quebec. The terms of the Offering, including the number of common shares offered and the offering price, will be determined at the time of pricing.
